2. Services & Project Execution

Carmine Digital offers marketing, SEO, pay-per-click management, design, and software engineering services:

• Proposals: All formal quotes and project deliverables are detailed in independent proposals signed by both parties.
• Client Inputs: The success and timeline of projects rely on the timely provision of necessary copy, design assets, and approvals.
• Deliverables: We strive for quality execution but cannot guarantee specific conversion values or map-pack positions due to third-party algorithm updates.

3. Payments, Subscriptions & Cancellations

Payment cycles depend on selected plans (Basic, Silver, Gold, or custom retainer contracts):

• Recurring packages are billed monthly in advance.
• Retainer services can be canceled with appropriate notice as specified in your agreement (we offer flexible terms with no long-term lock-ins by default).
• Refunds are not granted for services already rendered or active ads management cycles.

4. Intellectual Property

Upon full settlement of invoices, all bespoke code, design outputs, branding assets, and strategy documents created specifically for your business belong to you. Carmine Digital retains the right to display design and case-study summaries in our public portfolio unless otherwise agreed in writing.

5. Limitation of Liability

To the maximum extent permitted by law, Carmine Digital will not be liable for any indirect, consequential, or incidental damages, including loss of profits, data, or business opportunities, arising out of or in connection with the use of our services or website.

6. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. You submit to the exclusive jurisdiction of the English courts for the resolution of any disputes.
